Result of Annual General Meeting and Admission of Shares

Dr. Chris Gilchrist who was appointed as Chief Operating Officer of Kenmare in November 2004 was elected to the board by the shareholders at Kenmare's AGM today.

Kenmare's Chairman Charles Carvill said, "Chris's previous experience with De Beers and Anglo positions him perfectly for the huge task of constructing and operating the Moma Titanium Project. We have been very impressed by his capability over the last six months and are delighted to welcome him to the board".

The Directors of the Company wish to announce that each of the resolutions proposed at the Annual General Meeting of the Company held on Monday, 25 July 2005 were passed. The full text of each resolution was set out in the Notice of Annual General Meeting that Kenmare circulated to the Shareholders on 30 June, 2005.

Application has been made to the Irish Stock Exchange and the UK Listing Authority for 1,514,762 new Ordinary Shares to be admitted to, respectively, the Official List of the Irish Stock Exchange and the Official List of the UK Listing Authority and to the London Stock Exchange and for the new shares to be admitted to trading. The new Ordinary Shares rank pari passu in all respects with the existing Ordinary Shares.

As noted in the Kenmare 2004 Annual Report, a stand-by loan facility for Euro 2.8 million and US$4.0 million has been agreed with the Moma Project subordinated lenders. Loan documentation in respect of the facility has been executed. One of the conditions of this facility, consistent with the terms of existing subordinated loans, is that new Ordinary Shares, to a value equal to 10% of the facility and credited as fully paid, be issued to subordinated lenders. This application for admission of shares is in satisfaction of this condition.
